Barz Live Content Creator Production and Distribution Agreement

This Content Creator Production and Distribution Agreement, the “Agreement,” is made as of the date submitted electronically by the Content Creator, by and between Barz Live Inc., located at 928 Fulton St., PMB 1033, Brooklyn, NY 11238, referred to as “Barz,” “Distributor,” or “Streamer,” and the person or entity submitting this form, referred to as “Content Creator.”

Barz and Content Creator may each be referred to as a “Party” and collectively as the “Parties.”

1. Purpose and Platform

Barz is a digital media distribution platform that combines social media, live and on-demand streaming, and interactive community features to empower independent creators and deliver unique, high-quality content to viewers. Content Creator wishes to host and distribute their content through the Barz platform, and Barz wishes to provide distribution and monetization opportunities, subject to the terms of this Agreement.

This is a short form agreement that outlines the key rights, obligations, and economics between the Parties. The Parties intend to negotiate a more detailed long-form agreement in good faith, consistent with these terms.

2. Term

Content Creator grants Barz the right to distribute Content Creator’s projects on Barz’s distribution platforms for an initial term of one (1) year from the Effective Date, with a one (1) year renewal option exercisable by mutual written agreement.

Content Creator retains ownership of all master content submitted to Barz, subject only to the license granted under this Agreement. Upon expiration or termination, Content Creator is free to distribute the content anywhere, including other platforms, without restriction, subject to any accrued obligations.

If Barz does not make Content Creator’s content available on any Barz platform, Content Creator may terminate this Agreement by giving Barz thirty (30) days’ prior written notice, subject to the Notices section of this Agreement.

3. Production Commitment

During the Term, Content Creator will use their best efforts to deliver at least one (1) new project or production per calendar month, suitable for distribution on Barz. Content Creator will use reasonable efforts to deliver each Production Commitment within thirty (30) days of the start of the relevant month or other mutually agreed production period. Content must comply with Barz’s technical, community, and content standards, as communicated by Barz from time to time.

4. Royalties and Revenue Sharing

Barz provides multiple monetization opportunities for Content Creators. All payments are subject to Barz being in a recouped position.

4.1 Subscription Royalties

Royalties begin once Content Creator reaches five hundred (500) active paying subscribers. Amounts accrue from the first subscriber and are paid once this threshold is achieved. Barz shall calculate and pay subscription royalties monthly, approximately fifteen (15) days after the end of each month, subject to applicable recoupment and minimum payout thresholds. Barz will provide monthly statements summarizing subscriber counts, applicable tiers, and royalty amounts.

4.2 Viral Bonus

For any content that receives 500,000 or more views on Barz within thirty (30) days of posting, Content Creator may be eligible for a discretionary cash bonus. The amount and timing of such bonuses are determined by Barz in its sole discretion and may vary by campaign or promotion.

4.3 Tipping

Content Creator becomes eligible to receive tips from users once they reach Tier 1, defined as 500 or more active paying subscribers. Tip splits are applied to net amounts received after applicable third-party transaction or processing fees.

• Tier 1: Content Creator 50%, Barz 50%
• Tier 2: Content Creator 60%, Barz 40%
• Tier 3: Content Creator 70%, Barz 30%
• Tier 4: Content Creator 80%, Barz 20%

4.4 Ad Revenue / ViewShare Program

Once Content Creator reaches Tier 3, defined as 15,000 or more active paying subscribers, Content Creator participates in the Barz Ad Revenue/ViewShare pool. Content Creator earns a percentage of the designated pool equal to their percentage of total platform views during that month. Barz retains discretion regarding the size, structure, and timing of the pool and will act in good faith and consistent with platform policies. Barz will not issue a payout from the Ad Revenue/ViewShare pool until the accumulated balance reaches $1,000 USD. Once reached, payments are made at least every ninety (90) days.

4.5 Pay-Per-View Events

If Barz determines that Content Creator’s content is suitable for Pay-Per-View distribution, Content Creator shall receive 60% of net proceeds and Barz shall retain 40% of net proceeds. “Net proceeds” means gross PPV receipts actually received by Barz, less applicable taxes, chargebacks, platform and payment processing fees, and any agreed direct marketing or production costs.

4.6 Sponsorships and Merchandise

For sponsorships obtained by or through Content Creator in connection with their Barz content, Content Creator shall receive 60% and Barz shall receive 40%, after deduction of any agreed direct costs. For Content Creator branded merchandise sold through Barz’s store or commerce tools, Content Creator shall receive 80% of net merchandise proceeds and Barz shall receive 20%.

4.7 Recoupment and Advances

No royalties shall be payable to Content Creator until Barz is in a “recouped position,” meaning Barz has recovered from gross revenues all recoupable advances, expenses, and charges incurred or borne by Barz under this Agreement in connection with Content Creator’s content. Payments made to or on behalf of Content Creator that are not expressly required may be treated as fully recoupable unless agreed otherwise in writing.

4.8 Accounting and Audit Rights

Barz will provide periodic royalty statements, at least quarterly when amounts are due. Content Creator may, once per calendar year, appoint an independent representative to audit Barz’s books and records relating directly to the exploitation of Content Creator’s channel and content under this Agreement, at Content Creator’s sole cost, during normal business hours, on reasonable written notice. Content Creator may only audit statements issued in the twelve (12) months preceding the audit request. If an audit reveals an underpayment of fifteen percent (15%) or more of royalties actually paid for the audited period, Barz shall promptly pay the shortfall and reimburse reasonable audit costs.

4.9 Inactive Channels

A channel may be deemed inactive if, for a continuous period of at least three (3) months, it shows no new content, no new subscribers, no meaningful interaction with fans on Barz, and no new social media posts or activity promoting Content Creator’s Barz content; or where Content Creator is unable to perform due to death, long-term physical impairment, or incarceration. Barz may gradually reduce applicable revenue amounts by $0.25 USD per subscriber per month or a comparable adjustment until the channel is closed, subject to legally due amounts already earned. Barz will use reasonable efforts to notify Content Creator and allow a reasonable cure period.

5. Production Procedure

Content Creator will select projects to be produced and delivered under this Agreement and may select other individuals rendering services in connection with production, in consultation with Barz. Barz’s approval, not to be unreasonably withheld or delayed, is required for content to be released on the platform to ensure commercial acceptability, compliance with law, community guidelines, and platform standards.

6. Grant of Rights

Content Creator grants Barz a non-exclusive, worldwide, royalty-bearing license during the Term to host, stream, transmit, reproduce, distribute, publicly perform, display, and otherwise exploit the content delivered under this Agreement across Barz’s platforms and services, and to use reasonable excerpts for promotional and marketing purposes.

Content Creator grants Barz the right to use Content Creator’s name, professional name, likeness, biography, logos, and approved brand elements in connection with marketing, promotion, and exploitation of Content Creator’s content on Barz, Barz’s services and brand, and Content Creator’s career as featured through Barz.

During the Term, with respect to promotional use of Content Creator’s name, image, and likeness directly tied to Barz-hosted content, Barz shall have exclusive rights. After the Term, this license becomes non-exclusive. Nothing in this Agreement shall be construed as a blanket endorsement of Barz or as preventing Content Creator from appearing on other platforms unless otherwise agreed in a separate writing.

Barz may, in Content Creator’s name and/or its own name, take reasonable action to protect and enforce the rights granted under this Agreement, including against piracy or unauthorized exploitation, provided Barz keeps Content Creator reasonably informed. Content Creator shall not enter into any agreement or commitment that would materially interfere with Content Creator’s obligations.

7. Warranties and Representations

Content Creator represents and warrants that Content Creator has the full right, power, and authority to enter into this Agreement and grant the rights set forth herein; the content and services are not subject to any contract or restriction that would impair the rights granted to Barz; the content and materials supplied by Content Creator, and Barz’s permitted use of them, will not knowingly infringe or violate third-party rights; where applicable, Content Creator will comply with relevant union or guild requirements; and each individual Content Creator, and any individual granting personal rights hereunder, is at least eighteen (18) years of age.

8. Indemnification

Content Creator agrees to defend, indemnify, and hold harmless Barz and its affiliates, successors, licensees, and their respective officers, directors, and employees, from any losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of any breach of Content Creator’s representations, warranties, or obligations, or any claim that the content or materials supplied by Content Creator infringe third-party rights. Barz will promptly notify Content Creator of any such claim. Content Creator may participate in the defense at Content Creator’s own expense, but Barz shall retain final control of the defense and any settlement, subject to not unreasonably refusing Content Creator’s input. Upon the making of any claim subject to indemnification, Barz may withhold a commercially reasonable portion of sums otherwise payable in a segregated interest-bearing escrow account to cover potential liability and associated costs.

9. Independent Contractor

The Parties are independent contractors. Nothing in this Agreement shall be deemed to create a partnership, joint venture, employment, or agency relationship. Content Creator is responsible for all taxes and obligations arising from amounts paid under this Agreement.

10. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. The Parties agree to exclusive jurisdiction and venue of the state and federal courts located in New York, New York for any dispute arising out of or relating to this Agreement.

11. Force Majeure; Remedies

If Barz’s performance is delayed or becomes impossible or commercially impracticable due to events beyond its reasonable control, Barz may suspend affected obligations for the duration of such event, but not for more than one hundred eighty (180) days. Content Creator acknowledges that the rights granted to Barz are special and unique, and that breach by Content Creator may cause irreparable harm not adequately compensated by money damages alone. Barz shall be entitled to seek injunctive or other equitable relief in addition to any other remedies, subject to Content Creator’s right to contest such relief.

12. Promotional Activities

From time to time, and subject to Content Creator’s reasonable availability, Content Creator agrees to participate in reasonable promotional activities requested by Barz that do not unreasonably interfere with other professional commitments, including photo or video sessions, interviews, and appearances in promotional content. Such promotional activities are generally non-paid unless required by applicable union agreements or separately agreed in writing.

13. Notices

All notices, royalty statements, and payments under this Agreement shall be in writing and sent to Barz Live Inc., 928 Fulton St., PMB 1033, Brooklyn, NY 11238, United States, and to Content Creator using the address and contact information submitted through this application form, or any updated address notified in writing. Notices shall be sent by certified or registered mail, recognized courier service, or electronic mail with confirmation where legally acceptable, and are deemed given upon receipt.

14. Legal Counsel

Content Creator acknowledges that Barz has advised Content Creator to consult independent legal counsel to review and explain this Agreement. Any decision not to obtain such counsel is Content Creator’s own decision and does not affect the validity or enforceability of this Agreement.

15. Long-Form Agreement

The Parties agree to negotiate in good faith a long-form agreement consistent with the key terms and intent of this Agreement. Until such a long-form agreement is signed by both Parties, this short form Agreement is fully binding and governs the Parties’ relationship.

16. Entire Agreement; Amendments

This Agreement constitutes the entire understanding between the Parties regarding its subject matter and supersedes all prior discussions or proposals. Any amendments or changes must be in a written document signed by both Parties.
